Hong Kong Company Registration
Company registration in Hong Kong is handled by the Companies Registry (公司註冊處) under the Companies Ordinance (Cap. 622). There are no foreign ownership restrictions: a single foreign national can be the sole director and shareholder of a private limited company. The Business Registration Office (under the Inland Revenue Department) issues a Business Registration Certificate, which must be renewed annually.
Hong Kong company incorporation does not require a minimum paid-up capital or government approval of business scope for most commercial activities. The process typically involves filing a company name search, submitting an incorporation form (NNC1), articles of association, and a notice of registered office address. A registered office in Hong Kong (not a PO box) is required. Most incorporations are completed within 1–2 business days via the e-Registry. Annual returns must be filed within 42 days of the incorporation anniversary.
Hiring Employees in Hong Kong
Hong Kong has no mandatory social insurance system equivalent to the mainland’s "five insurances." Instead, employers must enrol eligible employees in the Mandatory Provident Fund (MPF), contributing 5% of relevant income (capped at HKD 1,500/month) and deducting the same from the employee. Hong Kong Salaries Tax operates on a territorial basis and uses a progressive rate up to 17% (or a standard rate of 15% of net income, whichever is lower). Employment contracts are governed by the Employment Ordinance (Cap. 57), which sets minimum notice periods, annual leave entitlements, and statutory holiday requirements. Employees who have worked for the same employer for 5 or more years are entitled to long service payment upon termination in certain circumstances.
