China Joint Ventures (JV)

In a JV business arrangement, participants-Chinese investors and foreign investors-create a new entity or formal contractual relationship. Investment, operating expenses, management responsibilities, profits, and losses are shared between the parties.

For some activities that remain subject to government controls on foreign participation-such as parts of buildings and construction and car manufacturing-a joint venture is often the required or prescribed way to obtain a local operating vehicle rather than a wholly foreign-owned enterprise. Sector treatment evolves; the current negative list and special administrative measures should always be confirmed for your project.

Steps to establish a Joint Venture in China

Timelines vary by city and sector; your Acadia lead will confirm milestones for your file.

  1. Phase 1: Partner selection & due diligence Estimated time: 4–8 weeks
    • Identify and evaluate Chinese partner candidates.
    • Conduct partner due diligence (legal, financial, operational).
    • Negotiate heads of terms and investment ratio.
  2. Phase 2: Approvals & name reservation Estimated time: 4–8 weeks
    • Prepare feasibility study and JV contract.
    • Company name pre-approval and reservation.
    • Notarise and apostille foreign investor documents.
    • MOFCOM or local commerce authority filing (as required).
  3. Phase 3: Registration Estimated time: 3–4 weeks
    • AMR registration and business licence issuance.
    • Receive company chops and seals.
    • Tax registration and VAT application.
    • Open bank accounts and inject registered capital.

Employment

  • May enter into employment contracts with employees directly or through third-party HR service providers.

Company naming rules

  • Only the Chinese name is legally binding; the English name is not legally relevant for Chinese authorities.
  • The word “China” may not be freely included in the Chinese name.
  • Normally the company name is composed as: name + business nature (e.g. trading) + city + limited company.

Registered capital, reputation, and term

  • The company must be deemed to have a good reputation.
  • No past record of serious violations of China laws and regulations.
  • The general operating period of a JV shall not exceed 30 years; for certain projects in the central and western regions, the limit may extend to 40 years, subject to approval conditions.

Corporate governance

  • Board of directors (at least three members) or one executive director.
  • One general manager.
  • One legal representative as liaison between the JV and the P.R.C. authorities (may hold other roles concurrently except supervisor).
  • One supervisor to ensure legal compliance (may not undertake other roles).

How a Joint Venture compares to WFOE and RO

JVs combine foreign and Chinese capital where sector rules or partner value requires shared ownership. Compare setup time, governance, and operational freedom against a wholly foreign-owned WFOE or a liaison-only RO.

Joint ventures remain relevant where foreign ownership caps apply or a Chinese partner brings distribution, licences, or sector access you cannot replicate alone.
