A mid-sized Italian restaurant chain seeking to enter the China F&B market. The brand had an established track record in Europe and Southeast Asia and had identified Shanghai as its first China market, with an aggressive growth target of three restaurants in year one and twenty locations across China within three years.
Challenge
The restaurant industry in China is one of the most heavily licensed sectors for foreign operators. The client faced several overlapping challenges:
- Entity structure: The client required a Food and Beverage management WFOE with a business scope covering restaurant operations, catering services, and retail food sales, a more complex scope than a standard trading or consulting WFOE.
- Regulatory licensing: Each restaurant location in China requires a separate Food Business Licence (食品经营许可证) and Public Health Permit (公共场所卫生许可证) from local regulators, in addition to fire safety inspection sign-off. These licences must be obtained before a restaurant can open, and the application process varies by district and city.
- Operational systems: The client needed POS (point of sale) and inventory control systems compatible with Chinese fiscal requirements, including the ability to generate or integrate with VAT fapiao issuance.
- Staffing: The client needed to hire and manage a multi-level team, including restaurant managers, service staff, chefs, and back-office finance, in a city and labour market they were unfamiliar with.
- Government compliance: F&B operations in China are subject to periodic inspections by market supervision, health, and fire authorities. The client needed experienced local support to handle these.
Solution
Acadia acted as the client's full-service China operational partner from pre-opening through to ongoing management:
- WFOE registration: Established the Food and Beverage management WFOE in Shanghai, with business scope and registered capital structured to support the planned restaurant operations and future expansion.
- First location setup: Managed the opening of the flagship restaurant at Xintiandi, one of Shanghai's most prominent commercial and dining precincts, coordinating the lease, renovation permits, and fit-out compliance with local building and fire codes.
- Regulatory licences: Applied for and obtained Food Business Licences and all required public health and sanitation permits for each restaurant location, managing the inspection and approval process with district regulators.
- POS and inventory systems: Installed the ALOHA POS cash management system and a separate inventory control platform, configured for Chinese fiscal requirements and integrated with the entity's fapiao issuance processes.
- HR and payroll: Recruited and onboarded restaurant managers, kitchen staff, and service personnel. Managed monthly payroll, social insurance registration, and IIT withholding for the full China team.
- Ongoing advisory: Provided ongoing China business advisory support, representing the client during government inspections (market supervision, health, fire) and advising on cash management controls and HR policy compliance.
Outcome
- The WFOE was established and the flagship Xintiandi restaurant opened on schedule with all required licences in place before opening day.
- All three first-year restaurant targets were met, each with complete regulatory compliance from the outset.
