China Merger & Acquisition Support
China Merger & Acquisition Representation & Advisory
Acadia Advisory supports foreign investors with mergers and acquisitions in China on both the buying and selling sides.
Financial advisory and due diligence play a key part in every M&A deal. Typical M&A deals involve finding target companies or buyers, planning deals, appraisals, and managing negotiations with board members to close the deal.
Acadia has successfully completed a number of large M&A deals in China across various industries. We’ve worked both on the buying and selling sides for both foreign and Chinese companies.
Buy Side Representation in China
We provide buy side representation in China, this also includes sourcing deals for foreign investors who sometimes struggle to find the right target companies. Deal structures in China can be complex and confusing. Target companies often ask for inflated prices which require negotiation and long boardroom talks and taking the right legal steps to ensure the transaction is compliant.
When representing buyers in China for mergers and acquisitions we start by building a action plan. Our plans includes market and industry specific research, financial due diligence, legal and regulatory compliance reviews and contingency plans incase things go wrong.
We’ve handled complex deals across different countries and markets. Some deals fell through, but we still helped clients close even better ones. Our focus is always on getting the best terms.
Management Buyouts (MBO) and Leveraged Buyouts (LBO)
We can assist with both Management Buyouts and Leveraged Buyouts in China and overseas. These deals generally involve the company’s management—and sometimes outside investors—taking control of the business. But they also come with additional risks.
Risks can include paying too much for a company or taking on too much debt, conflicts with current management teams, and disagreements with managers and shareholders.
In Leveraged Buyouts, when assets are used as collateral for loans, we start by learning about what our clients want and then we assist them with obtaining short-term funding by connecting them with potential lenders that we have relationships with both in China and abroad.
We also build financial structures to ensure stable cash flows for loan repayments and ensure the company management teams have clear plans to make the business successful.
Advising Foreign Firms in China
Helping foreign companies in China is what Acadia has done for over 15 years, We support clients from over 20 countries to helping them grow in China.
Foreign companies often notice the huge opportunities in China, as a large market and also a cost-effective place to manufacture goods. Foreign investors certainly face challenges, some find it hard to get accurate data. Others run into issues and disputes with local partners, especially with language barriers or when they don’t share the values or goals for the business.
Cultural differences between foreign and Chinese companies alone can make it hard to move forward. Some companies freeze up and miss their chance. Others push ahead too quickly and later realize they could’ve made a better deal if they’d planned differently.
At Acadia, we know how to handle these situations. Our strength comes from our team—people with years of experience in global banking, strategy, and operations. Our team members come from different countries and industries. That helps us give balanced and practical advice.
Like every project we handle, we start with a strategy. Then we manage the full transaction process. The goal is always to create a deal that works well for everyone involved.
Post Merger Integration
Closing a merger or acquisition in China then leads to ensuring that the business continues to operate smoothly as new management can face problems if they are unfarmilar of certain aspects of the business.
At Acadia, we stay involved even after the deal closes. We help with merging business functions, staff, logistics, and communication. We also assist with public and government relations. But our role is focused at the board level. We’re there to guide, not to run daily operations.
Our focus is on making sure the new company works well. That means fixing how things run, making the best use of people, and updating the structure of the business. We also help build strong connections between the merged teams.
People are a big part of every merger. They need to be organized in a way that lets them do their best work. We help with that too—working side by side with the client to bring everything and everyone together.
Operations matter. They drive revenue. That’s why we support clients in making sure the new company runs smoothly. It’s all part of helping them get value from the merger.
Our team has the technical skills, deal experience, and global contacts to make the integration work. And we keep it focused on what matters: structure, people, and clear results.
